SHIFT KEY OPERATION - SHIFT KEYS AND SHIFT LOCK

Capital letters of English provided on upper case are typed by Pressing the Shift Key of either side The Shift Keys are depressed by the first little fingers of both hands.

Capital letters or signs of Upper case by the left hand fingers. To type the Upper case signs or Capital letters of right hand, press Shift Key by little finger simultaneously and type the letter or signs by right hand.

For many capital letters, or HEADINGS to be typed continuously, press the Shift Lock and type the capital letters. Press Shift to release or unlock the Shift when required. Shift Lock is provided on the left - hand side only.

Tabulator or Tab is used to move the Cursor key (printing position) to the set points. In computer default setting is available at every 5 spaces. It is frequently used for indenting, paragraphing and typing tabular statements by setting Tabs at desired places, and represented by L, On the Ruler Bar.

Sir, the next amendment, which is important, is diluting the provision relating to loan to Directors, that is, wholly owned subsidiaries and the Directors have been exempted, I do not know why that has to be done. It is related to loans to directors, that is, an amendment to Section 184. Then, there is proposed amendment to Section 188. Provision for special resolution under Section 188 should also be seen in similar context. Sir, SEBI continues to provide for the requirement of special resolution for material related party transactions.

The requirement of special resolution in the situations envisaged under Section 188 would have made companies more transparent and encourage shareholders democracy in the governance of the corporate. It may still be appropriate to modify the clause to require the special resolution in case where related party transactions involve an amount above a certain threshold limit. In order to encourage transparency, explanatory statement as required to be given under Rules to the shareholders should also state the criteria or the basis for the management for considering a particular related party transaction in the ordinary course of business and at arm's length. The SEBI requirements and provisions under Companies. Law also differ on definition of ' related party transaction'. While SEBI has aligned recently the criteria for material related party transaction, there are a number of differences on the corporate governance requirements.

The Government should evolve a mechanism so that SEBI and the Companies' Law requirements converge in regard to listed companies and companies with significant public interest. This would greatly help in easing business in India as well. Sir, the other amendments are consequential. I welcome some of the amendments and I request the Government to look into the provisions of Sections 143 and the special resolution. The matter must be looked into very seriously by the Ministers and the Departments concerned with it to that such unlawful practices are not adopted by any company and if they do they must be punished. Strict punishment should be given to them if found in any type of wrong practice in assessment or settling of the cases which are in the nature of evasion of central excise or Vat or other types of the levied taxes. The courts should also see that these types of cases are settled within a time frame. It has been repeatedly told that the pending cases will be disposed off but no action is taken on them.
